On October 15, 2020, the Government issued Decree No. 122/2020/ND-CP regulating the coordination and continuity of procedures for registering the establishment of businesses, branches, representative offices, declaring the use of labor, issuing codes of units participating in social insurance, and registering to use invoices of enterprises (Decree on starting a business). business), effective from October 15, 2020.
According to the provisions of the Draft Decree, the form of Application for Business Registration, Notice of registration of branch operations, representative offices/business locations issued with this Decree replaces Appendices I-1 to I-5 and Appendix II-11 issued with Circular No. 02/2019/TT-BKHDT of the Ministry of Planning and Investment. Therefore, from October 15, 2020, businesses and business registration agencies will use the forms issued with the Decree to carry out procedures for registering the establishment of businesses, branches, representative offices, and business locations. Specifically:
– In case the application is valid according to the provisions of the Enterprise Law, Decree No. 78/2015/ND-CP, Decree No. 108/2018/ND-CP, Circular No. 20/2015/TT-BKHDT, Circular No. 02/2019/TT-BKHDT, please update and supplement information on registration for use. Invoices and information about social insurance payments according to the form in Appendix II-5 issued with Circular No. 02/2019/TT-BKHDT to be granted a Certificate of Business Registration, Certificate of Branch and Representative Office Operation Registration, and Business Location Registration Certificate.
– In case the dossier is not valid as prescribed in the Enterprise Law, Decree No. 78/2015/ND-CP, Decree No. 108/2018/ND-CP, Circular No. 20/2015/TT-BKHDT, Circular No. 02/2019/TT-BKHDT, please resubmit the Business Registration Application or Notice of Registration of branch operations, representative offices/business locations according to the form issued with the Decree on starting a business.
