Notice on declaration of beneficial ownership information of enterprises

Pursuant to the Government's Decree No. 168/2025/ND-CP dated June 30, 2025 on enterprise registration, as amended and supplemented by the Government's Decree No. 296/2026/ND-CP dated July 23, 2026; implementing the guidance in Official Dispatch No. 16558/BTC-DNTN dated October 16, 2026 of the Ministry of Finance regarding the implementation of information supplementation on beneficial owners of enterprises. In order to ensure the accuracy and completeness of enterprise registration data, as well as to facilitate enterprises in proactively finalizing their legal dossiers and minimizing the need to supplement dossiers during subsequent enterprise registration procedures, the Business Registration Authority of Hai Phong City requests:

Enterprises with head offices registered in the city shall urgently review and verify declared information, and carry out procedures to notify, supplement, and declare beneficial owner information of the enterprises on the National Enterprise Registration Information System. Enterprises shall submit dossiers for supplementary declaration of beneficial owner information online via the National Enterprise Registration Information System. The deadline for completion is before December 10, 2026.

The supplementary dossier includes:

• An Application for registration of changes to enterprise registration contents using Form No. 12 and a List of beneficial owners using Form No. 10 issued together with Circular No. 121/2026/TT-BTC dated August 21, 2026 of the Ministry of Finance.
• A power of attorney (in cases where another person is authorized to submit the dossier).
• In cases where the applicant is the person competent to sign the application for enterprise registration, the dossier shall not include Form No. 12 (as prescribed in Clause 1, Article 9 of Decree No. 296/2026/ND-CP).

Enterprises are also requested to enter the correct information of beneficial owners into the system in accordance with the declared dossier. Enterprises may refer to the document templates and implementation procedures at http://dangkydoanhnghiep.hpnet.vn/ViewDetail/1435.aspx.

Bases for determination and declaration:

• Criteria for identifying beneficial owners of enterprises are based on the provisions of Article 3 of the Government's Decree No. 296/2026/ND-CP dated July 23, 2026, amending and supplementing a number of articles of the Government's Decree No. 168/2025/ND-CP dated June 30, 2025 on enterprise registration.
• The declaration of beneficial owner information is based on the provisions of Article 4 of the Government's Decree No. 296/2026/ND-CP dated July 23, 2026, amending and supplementing a number of articles of the Government's Decree No. 168/2025/ND-CP dated June 30, 2025 on enterprise registration.

Note: Violations regarding the declaration of enterprise beneficial owner information shall be subject to administrative penalties in accordance with the Government's Decree No. 288/2026/ND-CP dated July 21, 2026, amending and supplementing a number of articles of the Government's Decree No. 122/2021/ND-CP dated December 28, 2021 on administrative penalties in the fields of planning and investment.
