In this article, the Business Registration Office notes that those carrying out business registration procedures (DKD) should prepare the correct type of registration transaction/notification of change in business registration content when carrying out online business registration procedures.
To prepare the correct type of transaction to change the content of business registration, first of all, the person carrying out the procedure needs to understand the classification of business registration content that the enterprise wants to change according to the following cases:
– Business registration contents that enterprises must make registration changes: are the contents specified in Article 30 of the Enterprise Law 2020; in Articles 47, 48, 49, 50, 51, 52, 53, 54, 55, 61, Point a Clause 2 Article 63 of Decree No. 01/2021/ND-CP dated January 4, 2021 of the Government on business registration. These are the business registration contents that will change the content of the issued Business Registration Certificate such as: business name, head office address, charter capital, legal representative, member of the LLC, owner... The result of the procedure that the business receives after the application is approved is to be issued a new Business Registration Certificate to replace the issued Business Registration Certificate.
– The contents of the business registration that enterprises must make notify changes: are the contents specified in Article 31 of the Enterprise Law 2020; in Articles 56, 57, 58, 59, 60, Point b, Clause 2, Article 63 of Decree No. 01/2021/ND-CP dated January 4, 2021 of the Government on business registration. These are the business registration contents that do not change the content of the issued Business Registration Certificate such as: business lines, tax registration information, information of founding shareholders/shareholders who are foreign investors/authorized representatives... The result of the procedure that the business receives after the application is approved is to be granted a Certificate of change in business registration content. The issued business registration certificate remains unchanged.
Based on the above classification, the registration system requires the person carrying out the procedure to determine which category of business registration content they want to change before establishing the transaction "Registration of change" or "Notification of change". Establishing the correct transaction is extremely important so that the results of the procedure are carried out in accordance with the law and no time is wasted when performing the procedure. The Business Registration Authority will review the changed business registration contents in the dossier to determine whether the person carrying out the procedure established the correct transaction or not. + In case it is found that there is no content of the business registration that you want to change on the issued Business Registration Certificate), the type of transaction that must be made is "Notification of change".
