When performing online business registration procedures, businesses need to ensure the most important principle: “The information of the paper file and the information declared in the registration system must be consistent“.
To help businesses grasp and avoid basic errors when carrying out procedures, Hai Phong Business Registration Office introduces a series of articles providing guidance and principled notes on online business registration procedures based on current legal regulations. The opening article in this series mentions the most important principle when performing online procedures: “The information of the paper application and the information declared in the registration system must be consistent“.
Point b Clause 3 Article 43 of Decree No. 01/2021/ND-CP dated January 4, 2021 of the Government on business registration stipulates: "Business registration information declared on the National Business Registration Portal must be complete and accurate according to the information in the paper file."
Based on this regulation, the person carrying out the procedure needs to ensure that the principle “Information of the registration dossier and information entered into the registration system must be consistent” is complied with. This means that the information that has been declared by the enterprise in the paper records must be declared exactly like that in the registration system, and vice versa, if you want to declare additional information or modify any information on the registration system, those amended and supplemented contents must be declared by the enterprise in the paper records. If this principle is not followed, the Business Registration Office will not approve and request the person carrying out the procedure to re-declare into the registration system according to the information in the paper file.
The following are common errors that Hai Phong Business Registration Office encounters when checking documents:
– Paper documents declaring full information (new establishment registration) or declaring many items changing the content of business registration but: the enterprise does not declare anything in the registration system; Declaring lack of information according to paper records (eg: declaring enough number of business lines but not declaring detailed content of business lines...).
– In addition to declaring and adjusting on the registration system the information declared in the paper file, the enterprise also adjusts other information (eg: adding/deleting business lines, modifying business line details, modifying information on personal legal documents, adding personal phone numbers/emails...) but not declaring them in the paper file.
To avoid encountering errors that violate this principle, the person performing the procedure simply checks whether the information declared in the registration system is accurate according to the information in the paper application before officially submitting the application online; Do not arbitrarily modify or supplement information on the registration system if that information is not in the paper file. If you realize that there is some information that needs to be adjusted that is not contained in the paper records, the enterprise must of course amend the paper records to suit its needs.
